The Board has a sacred role to provide strategic direction for the entity they are appointed to serve. In their oversight role, they hire the CEO and management team; steer the succession of the CEO and determine the remuneration of the Senior Management Team; determine the strategic roadmap; set ethical tone for the organization and ensure that the entity remains a good corporate citizen. To execute their mandate effectively, the Board develops structures at their level. Most training on corporate governance have focused on the role the Board plays in the organization. Governing a team of highly experience professionals who serve in the Boards is not necessarily easy; and having the Board to objectively inflect on how, within itself, governance works has been a missing link. Board dynamics are many and varied; independence of the individual directors highly valuable. What structures must be in place for the Board to function effectively?
